1. Definitions
 

• "Company," "We," "Our": AG Cleaning Toronto Inc. and its affiliates.

• "Client," "You": The individual or entity booking services.

• "Services": Professional cleaning services and use of the online quote generator.

• "Site": AG Cleaning’s digital platforms, including www.agcleaning.ca.

• "Quote": Pricing estimates generated by the Online Quote Generator (see www.agcleaning.ca/quotegen).

• "Confirmed Invoice": The final binding agreement superseding all preliminary quotes.
   

2. Acceptance of Terms

By accessing our website, using our quote generator, or booking services, either by phone, mail, email, web pages or any means of communication, you agree to:

• These Terms of Service ("Terms").

• Our Privacy Policy (if applicable).

• Any additional service agreements.
   

If you disagree, you must not use our Services. Use of services constitutes acceptance of the Terms of Service
Minimum Age Requirement: You affirm you are at least 18 years old or have obtained verifiable parental/guardian consent.

3. Online Quote Generator
 

• Estimates Only: Quotes generated are non-binding approximations. Final pricing may vary due to:

  • Undisclosed property conditions (e.g., excessive biohazards, structural issues).

  • Modifications to service scope requested pre-service.

• Booking Confirmation: A booked service constitutes a binding agreement. Client agrees to pay the final confirmed price.
   

Binding Agreement: Booking confirmation constitutes acceptance of the Confirmed Invoice price, which supersedes all prior quotes.

4. Payments Terms

4.1. Pricing & Invoicing

• Quotes and pricing generated or provided by the Instant Quote System ('Online Quote Generator' SEE:  https://www.agcleaning.ca/quotegen) are void and invalid until confirmed for price accuracy and details or information correct calculations. If the  CONFIRMED INVOICE  prices are different from prices generated by the Online Quote System, the  CONFIRMED INVOICE  price is the only price valid. Although we try to ensure we provide accurate price for cleaning services needed, all prices generated through the quote system are strictly used for visual purposes only and is to be used as an estimate or quote to provide an estimated cost associated with the services needed. The quote system price is therefore not an accurate representation of the final invoice price of each and/or any service rendered. 

• ​Quotes are valid for 7 days unless otherwise stated.

• Final invoices are due within 15 days of service completion unless a different payment schedule is agreed upon in writing.
   

4.2. Late Payments

• Balances unpaid after 45 days incur a 1.5% monthly interest fee (18% annually).

• Balances unpaid after 90 days will be:

  • Immediate suspension of current or future services.     

  • Referred to a collections agency.

  • Subject to legal action, including small claims court.

  • Client is responsible for all associated fees (collections, legal, etc.).
     

4.3. Disputes & Chargebacks

• Payment disputes must be submitted in writing by mail or Email within 45 days of invoice date to:

Unauthorized credit card chargebacks will result in a $50.00 CAD + potential legal recourse for fraudulent disputes.

Payment Methods

AG Cleaning Toronto Inc. accepts the following payment methods for services rendered:

• Interac e-Transfer

  • Send to: billing@agcleaning.ca

  • Include: Invoice number and client name in the message field.

• Credit Card (Visa, Mastercard, American Express)

  • Processed securely via [Secure Online Payment Processor Stripe - https://stripe.com/en-ca.

  • A 2.9% processing fee applies to all credit card transactions.

• Cheque

  • ​*Option only available for contracts of $1,200.00+ CAD

  • Make payable to: AG Cleaning Toronto Inc.

  • Accepted in person only

  • Note: Services will be scheduled only after cheque clearance.

• Cash

  • Accepted only for in-person payments at time of service.

  • Receipts provided upon request.

​Late payments are subject to fees as outlined in Section 4.2. All prices are in CAD.
 
5. Cancellation & Rescheduling Policy
 

• 24+ Hours Notice: No fee for cancellations/rescheduling.

• <24 Hours Notice: Emergencies happen, we will happily reschedule your service.  5%  of CONFIRMED INVOICE quoted price charged for next booking. Thank you for respecting our cleaning teams (Pros) time and understanding that when our cleaning team (Pros)  shows up for you to provide top-quality service, they should be compensated for their time and travel.

• No-Show/Lockout: Emergencies happen, we will happily reschedule your service. 15%  of CONFIRMED INVOICE quoted price charged for next booking. Thank you for respecting our cleaning teams (Pros) time and understanding that when our cleaning team (Pros)  shows up for you to provide top-quality service, they should be fairly compensated for their time and travel.

• *Full Cancellation & Failure to Reschedule: If you do not wish to reschedule your confirmed booking of the services requested, a flat fee of $35.00 CAD will be immediately charged to the payment method we have on file. If we do not have a 
   

6. Service Policies

6.1. Client Responsibilities

• Ensure safe, unobstructed access to the property.

• Secure pets or notify us of potential hazards.

• Ensure utilities (water/electricity) are available if required for services.
   

6.2. Company Responsibilities

• Perform services as described in the agreed-upon scope.

• Use industry-standard cleaning methods and products (eco-friendly & all natural organic options available upon request).
   

6.3. Damage & Liability

• AG Cleaning is not liable for:

  • Pre-existing damage.

  • Items not disclosed prior to service (e.g., fragile valuables).

• Exclusions: Pre-existing damage or undisclosed fragile items.

Claims Process: Reported within 24 hours with photographic evidence to claims@agcleaning.ca.

6.4. Service Guarantee

• Free re-clean available if:

  • Reported within 24 hours of service

  • Original service scope was not met

• Excludes:

  • Pre-existing damage

  • Client interference during service

  • Requests beyond original agreement

  • 6.5. Employee Conduct & Safety (NEW)

• Clients must:

  • Provide safe workspace (e.g., clear pathways, secured pets)

  • Avoid harassment or interference with staff
    Violations may result in immediate termination without refund.
     

6.6. Hazardous Conditions (NEW)

• Services may be refused for:

  • Biohazards (e.g., mold, bodily fluids)

  • Pest infestations

  • Unsafe environments (e.g., structural damage)
    $150+ assessment fee if undisclosed hazards cause delays.
     

7. Intellectual Property

• The online quote generator, website content, and branding are used under exclusive use rights by AG Cleaning Toronto and owned exclusively as proprietary assets by The Fine Company Ltd.

• Unauthorized use, scraping, or replication of our pricing algorithms is prohibited and will be enforced by any and/or all legal ways.

  • **Restrictions: Unauthorized scraping, replication, or misuse of IP(Intellectual Property), code, data or pricing algorithms will result in legal action under the Copyright Act (Canada) (Copyright Act (R.S.C., 1985, c. C-42)(https://laws-lois.justice.gc.ca/eng/acts/C-42/Index.html) and Computer Fraud and Abuse Act (if applicable) (CFAA).
     

8. Termination of Services
AG Cleaning reserves the right to terminate services for:

• Non-payment.

• Safety concerns (e.g., hazardous conditions, hostile behavior).

• Breach of these Terms.
   

9. Limitation of Liability

• AG Cleaning’s total liability for any claim is limited to the cost of the service rendered.

• We are not liable for consequential damages (e.g., mold reappearance after cleaning).

• Cap on Liability: Limited to the total fees paid for the affected service.

• Excluded Damages: Consequential, incidental, or punitive damages (e.g., business interruptions).
   

10. Governing Law & Dispute Resolution

• These Terms are governed by Ontario, Canada law.

• Disputes will be resolved in Toronto, ON courts.

• Client waives the right to a jury trial or class action.

• ​Class Action Waiver: Claims must be pursued individually.
   

11. Amendments

• AG Cleaning may update these Terms at any time.

• Continued use of Services constitutes acceptance of Terms of Service.
   

12. Entire Agreement
These Terms supersede all prior agreements. Any changes must be in writing and signed by AG Cleaning Toronto.

 
13. Gift Cards & Promotions

• Expire 1 year from issuance

• Non-refundable, non-transferable

• Cannot be combined with other offers

• Void if altered or duplicated
   

14. Force Majeure
Not liable for delays/cancellations due to:

• Natural disasters

• Government restrictions

• Utility outages

• Labor strikes

  • Clients may reschedule or receive account credit.
     

15. Additional Policies
 
15.1. Photo Release

• Client grants permission for before/after photos to be used for training/marketing unless denied in writing.

15.2. Key/Lockout Policy

• $75+ fee if team is denied entry without 24-hour notice.

*By booking a service or using our quote generator, you acknowledge you have read, understood, and agreed to these Terms.


 
These Terms nullify all prior agreements. Modifications require written consent from AG Cleaning Toronto Inc.
By using our Services, you attest to having read, understood, and agreed to these binding Terms.
